Terms of Service
These Terms of Service ("Terms") govern your use of the Kayd mobile application and the website at ayuuto.ca (together, the "Service"), provided by Ayuuto ("we", "us", "our"). By creating an account or using Kayd, you agree to these Terms. If you do not agree, do not use the Service.
Read this carefully. Kayd is a coordination and record-keeping tool for rotating savings circles. Kayd does not move money, hold funds, lend money, insure contributions, guarantee payouts, or recover unpaid contributions. Members are entirely responsible for their own contributions and for any disputes between them.
1. Eligibility
To use Kayd, you must:
- Be at least 18 years old.
- Have the legal capacity to enter into a binding contract in your jurisdiction.
- Not be prohibited from using the Service under applicable law or under any prior termination by us.
Kayd is currently offered in Canada. We may expand availability over time; the current availability is reflected on the Apple App Store and Google Play listings.
2. Your account
You are responsible for:
- Providing accurate account information and keeping it up to date.
- Maintaining the security of your authentication credentials (Apple, Google, or password).
- All activity that occurs under your account.
- Notifying us at support@ayuuto.ca if you believe your account has been compromised.
You may close your account at any time from inside the app or by emailing support@ayuuto.ca.
3. What Kayd is — and is not
3.1 What Kayd is
Kayd is a software tool that helps groups coordinate rotating savings circles (also known as ROSCAs, sou-sous, ekubs, hagbads, tandas, partner circles, chit funds, and similar arrangements). The Service allows you to:
- Create and manage circles.
- Invite members and track membership.
- Record contributions and payouts that members agree to make outside the app.
- Generate trust scores based on on-time contribution history.
- Resolve disputes between members through host-mediated review.
3.2 What Kayd is NOT
Kayd is not:
- A bank, money services business, payment processor, or financial institution.
- A custodian of funds. Kayd never holds, transmits, or has access to your money.
- An escrow service, insurance provider, or guarantor of any contribution or payout.
- A lender or credit provider. Trust scores are informational; they are not credit scores.
- Regulated as a financial institution in Canada or elsewhere.
3.3 Member responsibility
Each member of a circle is responsible for:
- Sending their own contribution to the designated recipient using whatever payment method the group chooses (cash, Interac e-Transfer, bank transfer, etc.).
- Confirming receipt of payouts in good faith.
- Resolving any payment disputes directly with other members. Kayd's dispute feature only records the dispute and host's resolution; it has no enforcement power.
- Complying with tax and legal obligations that may apply to participation in a savings circle in their jurisdiction.
4. Licence to use Kayd
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to install and use Kayd on devices you own or control, for your personal, non-commercial use.
You may not:
- Reverse-engineer, decompile, or disassemble the Service.
- Remove or modify any proprietary notices.
- Use the Service to build a competing product.
- Resell, sublicense, or commercially exploit the Service.
5. Acceptable use
You agree not to use Kayd to:
- Violate any law, regulation, or third-party right.
- Defraud, deceive, or harm other users.
- Run a circle for any unlawful purpose, including money laundering, fraud, or terrorist financing.
- Upload proof images or other content that is unlawful, infringing, defamatory, obscene, or that you do not have the right to share.
- Send spam, phishing, or unsolicited messages through invites or notifications.
- Attempt to circumvent rate limits, security controls, or access another user's data.
- Impersonate any person or misrepresent your affiliation with anyone.
We may suspend or terminate accounts that violate these rules. We may also remove content that we believe violates these Terms or applicable law.
6. User-generated content
You retain ownership of content you create or upload to Kayd (such as proof images, dispute notes, and circle names). By uploading content, you grant Ayuuto a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, and display that content solely for the purpose of operating the Service for you and the members of your circles.
You represent that you have the right to share any content you upload, that it does not infringe anyone else's rights, and that it complies with these Terms and applicable law.
7. Notifications and email
By using Kayd, you agree to receive transactional notifications and emails necessary to run the Service (invites, password resets, round events, dispute updates). You can manage push notification permissions in your device settings. Email notifications cannot be fully disabled while your account is active because they are required to operate circles.
8. Privacy
Our handling of your information is described in our Privacy Policy, which is incorporated into these Terms by reference.
9. Disclaimers
The Service is provided "as is" and "as available", with all faults and without warranty of any kind. To the fullest extent permitted by applicable law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, and uninterrupted availability.
Without limiting the above, we do not warrant that:
- Other members will pay their contributions on time, or at all.
- Trust scores are accurate predictors of any member's future behaviour.
- Notifications will be delivered promptly or at all (delivery depends on third-party services and your device).
- The Service will be free from errors, security incidents, or interruptions.
10. Limitation of liability
To the fullest extent permitted by applicable law, in no event will Ayuuto, its directors, officers, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, savings, contributions, payouts, data, or goodwill, arising out of or relating to your use of the Service, even if we have been advised of the possibility of such damages.
In no event will our aggregate liability for all claims arising out of or relating to the Service exceed the greater of (a) the amount you paid us for the Service in the 12 months preceding the event giving rise to the liability (which is currently zero, because Kayd is free), or (b) CAD $100.
Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability, so the above may not apply to you in full.
11. Indemnification
You agree to indemnify and hold harmless Ayuuto and its directors, officers, employees, and agents from any claim, demand, loss, liability, or expense (including reasonable legal fees) arising out of:
- Your use of the Service in breach of these Terms or applicable law.
- Content you submit, post, or transmit through the Service.
- Disputes between you and other members of any circle.
- Your violation of any third-party right.
12. Third-party services
Kayd integrates with services provided by Apple, Google, Supabase, Expo, Sentry, Mailtrap, and Cloudflare. Your use of those services is governed by their own terms and privacy policies. We are not responsible for their acts or omissions.
13. Termination
You may stop using Kayd at any time. We may suspend or terminate your access to the Service, with or without notice, if we reasonably believe you have violated these Terms or applicable law, or to protect the Service or its users. On termination, sections that by their nature should survive (including ownership, disclaimers, limitation of liability, indemnification, and governing law) will continue to apply.
14. Changes to the Service and Terms
We may modify, suspend, or discontinue the Service (or any feature) at any time. We may also update these Terms from time to time. When we make material changes, we will update the "Last updated" date and notify you in-app or by email before the change takes effect. Continued use of Kayd after a change means you accept the revised Terms.
15. Governing law and dispute resolution
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in Ontario, without regard to conflict-of-laws principles.
Subject to mandatory consumer-protection laws of your province or country of residence, you and Ayuuto agree that the courts located in Ontario, Canada will have exclusive jurisdiction over any dispute, claim, or controversy arising out of or relating to these Terms or the Service. We each waive any objection to venue or forum non conveniens.
Before filing a claim, you agree to first contact us at support@ayuuto.ca and attempt in good faith to resolve the dispute informally for at least 30 days.
16. Apple App Store additional terms
If you obtained Kayd from the Apple App Store, the following additional terms apply:
- These Terms are an agreement between you and Ayuuto, not Apple. Apple is not responsible for the Service or its content.
- Your licence to use Kayd is limited to use on Apple-branded products you own or control, as permitted by the App Store Terms of Service.
- Apple has no obligation to provide maintenance or support for the Service.
- If the Service fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any). To the maximum extent permitted by law, Apple has no other warranty obligation.
- Ayuuto, not Apple, is responsible for addressing any product or third-party claims relating to the Service.
- Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.
17. Google Play additional terms
If you obtained Kayd from Google Play, your use is also subject to the Google Play Terms of Service. To the extent of any conflict between those terms and these Terms regarding your use of Kayd specifically, these Terms control as between you and Ayuuto.
18. Miscellaneous
Entire agreement. These Terms, together with our Privacy Policy, are the entire agreement between you and Ayuuto regarding the Service.
Severability. If any provision is held unenforceable, the remaining provisions will remain in effect.
No waiver. Our failure to enforce any provision is not a waiver of our right to do so later.
Assignment. You may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition, or sale of assets.
