Welcome to Ayuuto. Please read these Terms of Service (“Terms”) carefully before using the Ayuuto mobile application (the “App”) operated by Ayuuto (“we”, “our”, or “us”). By creating an account or using the App, you agree to be bound by these Terms. If you do not agree, do not use the App.

1. What Ayuuto Is

Ayuuto is a coordination platform for rotating savings circles (also known as ROSCAs, tontines, susus, chit funds, or tandas). The App helps groups of people organize and track a savings circle where:

Members agree to contribute a fixed amount each round.
One designated member (the recipient) collects the pooled contributions each round.
The process rotates until every member has been a recipient.

Ayuuto does not process, hold, transfer, or facilitate any money. All financial transactions between members happen entirely outside the App using methods chosen by the members themselves (e.g., e-transfer, cash, bank transfer). Ayuuto only tracks and records the status of these external transactions as reported by the members.

2. Eligibility

To use Ayuuto, you must:

Be at least 18 years of age.
Have the legal capacity to enter into these Terms.
Provide accurate and truthful information when creating your account.

3. Your Account

3.1 Account Creation

You must create an account using a valid email address and password. You are responsible for maintaining the confidentiality of your login credentials.

3.2 Account Security

You are responsible for all activity that occurs under your account. If you suspect unauthorized access, change your password immediately and contact us at support@ayuuto.ca.

3.3 Accurate Information

You agree to provide your real name when creating your account. Other circle members rely on your identity to coordinate contributions. Misrepresenting your identity may result in account suspension.

4. How Savings Circles Work on Ayuuto

4.1 Circle Creation

Any user can create a savings circle by setting the contribution amount, number of members, and other parameters. The creator becomes the circle’s host.

4.2 Invitations and Membership

The host invites members via the App. Invited users can accept or ignore invitations. By accepting an invitation, you agree to participate in the circle according to its terms (contribution amount, schedule, etc.).

4.3 Rounds and Contributions

Each round has a designated recipient. All other members are expected to contribute the agreed amount to the recipient outside the App. Members then report their contribution status within the App. The host confirms or rejects contributions based on whether the external payment was received.

4.4 Trust Score

The App calculates a trust score (0–100) for each member based on their contribution history. This score is visible to other circle members and reflects your reliability as a participant. Missed or rejected contributions lower your trust score.

4.5 Disputes

If a member disagrees with a contribution rejection, they may file a dispute through the App. The host is responsible for resolving disputes. Ayuuto does not arbitrate or adjudicate disputes between members.

5. No Financial Services

Ayuuto is not a bank, payment processor, lending service, or financial institution.

We want to be very clear about what Ayuuto does and does not do:

      We do not hold, transfer, or process any money or financial instruments.
We do not guarantee that any member will make their contribution.
We do not guarantee that any recipient will receive their payout.
We do not insure or protect against financial loss.
We do not provide financial advice.
We do not enforce agreements between members.

    

Ayuuto is a record-keeping and coordination tool. The financial arrangements between circle members are entirely between those members. You participate in savings circles at your own risk.

6. User Responsibilities

By using the App, you agree to:

Honor your commitments: If you join a savings circle, you are making a commitment to the other members. While we cannot enforce contributions, failing to contribute damages trust and harms other members.
Report accurately: Only mark contributions as submitted if you have actually made the external payment. Falsely reporting contributions is a violation of these Terms.
Act in good faith: Do not create circles, invite members, or use the App with the intent to deceive or defraud others.
Respect other users: Do not use the App to harass, threaten, or abuse other members.
Comply with laws: You are responsible for ensuring your participation in savings circles complies with all applicable laws in your jurisdiction.

7. Host Responsibilities

If you create a circle (as host), you additionally agree to:

Accurately confirm or reject contributions based on whether external payments were actually received.
Resolve disputes in good faith.
Not abuse your host privileges to unfairly benefit yourself or harm other members.
Understand that you are coordinating a group activity and that other members are relying on your honest management.

8. Prohibited Conduct

You may not:

Use the App for money laundering, fraud, or any illegal activity.
Create fake accounts or impersonate other people.
Manipulate trust scores or contribution records.
Attempt to gain unauthorized access to other users’ accounts or data.
Reverse-engineer, decompile, or attempt to extract the source code of the App.
Use automated scripts, bots, or scrapers to interact with the App.
Interfere with or disrupt the App’s infrastructure or other users’ experience.

Violation of these rules may result in immediate account suspension or termination.

9. Intellectual Property

The App, including its design, code, features, and content, is owned by Ayuuto and protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the App for its intended purpose.

You retain ownership of any content you provide (name, profile photo). By uploading a profile photo, you grant us a license to store and display it within the App to other circle members.

10. Limitation of Liability

To the maximum extent permitted by law:

Ayuuto is provided “as is” and “as available” without warranties of any kind, whether express or implied.
We do not warrant that the App will be uninterrupted, error-free, or secure.
We are not liable for any financial losses arising from your participation in savings circles, including but not limited to: missed contributions by other members, failure to receive payouts, disputes between members, or any other financial harm.
We are not a party to any financial agreement between circle members. Any money exchanged is solely between the members involved.
Our total liability to you for any claims arising from your use of the App shall not exceed the amount you paid to us in the 12 months preceding the claim (which is $0 if the App is free).

11. Indemnification

You agree to indemnify, defend, and hold harmless Ayuuto and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

Your use of the App.
Your participation in any savings circle.
Your violation of these Terms.
Any dispute between you and another user.

12. Account Termination

12.1 By You

You can stop using the App at any time. To delete your account, contact support@ayuuto.ca. Note that you should leave or complete any active circles before requesting deletion.

12.2 By Us

We may suspend or terminate your account at any time if:

You violate these Terms.
We receive credible reports of fraud or abuse.
We are required to do so by law.

We will attempt to notify you before or at the time of termination, but are not obligated to do so in cases of fraud or legal requirement.

13. Dispute Resolution

13.1 Between Users

Disputes between circle members (e.g., whether a contribution was made) are the responsibility of the members involved. Ayuuto provides tools (dispute filing, audit logs) to support resolution, but we do not mediate, arbitrate, or decide the outcome of disputes.

13.2 Between You and Ayuuto

If you have a dispute with us regarding the App or these Terms:

Contact us first at support@ayuuto.ca. We will attempt to resolve it informally within 30 days.
If unresolved, either party may pursue resolution through the courts of the Province of Ontario, Canada, which shall have exclusive jurisdiction.

14. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you via the App and update the “Last Updated” date above. Your continued use of the App after changes take effect constitutes acceptance of the revised Terms.

If you disagree with any changes, stop using the App and contact us to delete your account.

15. Governing Law

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Ayuuto regarding your use of the App.
